I have 2 questions. Where is the ECU located? and are there any percautions I have to take before installing the new ECU?

It is behind the glove box. You need to unscrew one bolt from the engine bay side and pull it out from behind the glove box.

Make sure you disconnect the battery first and make sure that, you are not statically charged. Reset the ECU afterwards.

Make sure you are wearing a ground strap... or you will cry when it's fried by static electricity

And don't wear wool...
Or work on a carpeted area.

Good point, although a ground strap really isn't needed if you live in a moderately humid area. Just use (touch) the metal cross-member support behind the dash and above the glovebox before you handle the PCM to discharge any static electricity that you may have "stored up" and you'll be fine. FWIW, I've pulled and installed several PCM's many, many times in the past and have never had a problem with frying one due to static build-up. ;)
